This independent contractor agreement (this “agreement”) is entered into between this registrant (the “supplier”) and High Point Ventures, LLC, d.b.a. Rep-For-Hire (the “company”). Whereas, the company is in the business of contracting with suppliers looking for tech representative services and the supplier is in the business of manufacturing, distributing and/or marketing products to retailers. It is expressly acknowledged and agreed that the company acts hereunder as an independent contractor, and not as an employee, agent or servant of the supplier. As an independent contractor, the parties to this agreement acknowledge that the supplier has no right to direct or supervise, or otherwise control, the manner in which the company performs work. Although the company strives to provide the supplier with qualified representatives, the liability and certification of the product is ultimately the responsibility supplier. Compensation for services rendered is paid by the supplier to the company upon receipt of invoice. Compensation is based on a rate per account stop per representative. All agreed upon travel expenses will be reimbursed to the company by the supplier. It is understood by both parties that in the case where the supplier hires the representative independent of the company for any reason at any time; the supplier shall pay the company 20% for the first two (2) months of the representatives’ compensation. This amount will be payable on the last day of each month. In addition the supplier is required to give to the company immediate notice of such an intension. This agreement may be terminated at any time by the supplier or the company once all outstanding obligations are fulfilled.
